Air Berlin plc – Announcement by the Company that the planned acquisition of NIKI Luftfahrt GmbH by Deutsche Lufthansa Group has failed 

Munich, 13. December 2017 – Air Berlin plc ("Air Berlin" or the "Company") announced today that the planned acquisition of NIKI Luftfahrt GmbH ("NIKI") by Deutsche Lufthansa Group has failed. In this context, which already has been speculated in the press, the Company confirms that there was no approval by the EU-Commission for the planned acquisition of the Austrian NIKI in Phase 1 of the merger control proceedings. The purchase agreement for NIKI, which was agreed in October 2017, is therefore not closed. According to the announcement, the Company is currently reviewing alternative solutions for the disposal of NIKI.

However, the Company announced that it would continue to hold on to the acquisition of Luftfahrtgesellschaft Walter mbH ("LGW") by Deutsche Lufthansa Group. Approval from the EU-Commission has not yet been granted. According to the company's announcement, the purchase price for the acquisition of LGW amounts to approximately € 18 million and will primarily be used to repay the bridge loan granted by KfW.
